W&P – Successfully Advising PT Cipta Mortar Utama on KPPU Post-Merger Reporting

We are privileged to support PT Cipta Mortar Utama, on its successful post-merger report to the Indonesian Business Competition Supervisory Commission or KPPU, following its acquisition of PT Mortar Prakarsa Utama. The team was led by Ms. Miriam Andreta, head of our Antitrust focus group, with the dedicated support of Mrs. Josephine Hadiwijaya and Mrs. Sania Chairunnisa, Associates of the firm – whose collective expertise and commitment were instrumental to the successful completion of the process.

This matter represents the firm’s seventh successful post-merger filing for clients within ten months.

Indonesian post-merger notification is far from a mere administrative exercise. Determining the correct filing trigger, transaction value, effective date, control analysis, and ensuring complete documentation requires technical accuracy and practical familiarity with how the authority conducts its review. Even minor missteps can lead to delayed submissions and, ultimately, administrative fines.
