Miriam Andreta has more than fifteen years of experience acting for both foreign and domestic lenders in high-profile syndication financings to Indonesian companies. On antitrust matters, Miriam Andreta has been advising both local and foreign companies on various antitrust issues relating to their business, as well as assisting their merger notification process. Her pivotal role in the firm’s antitrust department, representing various multi-national companies in numerous sensitive antitrust cases, has brought Walalangi & Partners as one of the Antitrust & Competition Indonesian Law Firms of 2020 by Asian Business Law Journal.

  • Counsel to one of biggest power companies in Japan, in structuring and preparing various loan agreements for its financing to an Indonesian borrower, engaging in roof-top solar business and preparing various Indonesian law governed security documents to secure the lender’s preference rights, including pledge of shares agreements, power of attorney to vote and sell shares and the fiducia security to secure the shareholder’s loan.
  • Counsel to PT Dhost Telekomunikasi Nusantara, an Indonesian subsidiary of Exeo Group Inc., engaging in provision of service of equipment and infrastructure of in-building distributed antenna system (DAS) and fibre optic system, in its IDR 480,000,000,000 (approx. USD 32 million) acquisition of indoor telecommunication infrastructure assets located at 633 sites across Indonesia from PT Indosat Tbk, trading as Indosat Ooredoo Hutchison, one of the largest Indonesian cellular telecommunications networks and services providers.
  • Counsel to MUFG Bank in total approximately EUR 596 million acquisition of 100% shares of HC Consumer Finance Philippines, Inc and 85.0% shares of PT Home Credit Indonesia, subsidiaries of Home Credit B.V. The acquisition is done through MUFG Bank and its consolidated subsidiaries Bank of Ayudhya Public Company Limited, the fifth largest commercial bank in Thailand and PT. Adira Dinamika Multi Finance.
  • Counsel to Mitsui & Co., Ltd and Penske Truck Leasing, the largest commercial vehicle leasing company in North America, in the establishment of their  truck operating lease business in Indonesia together with CSM Corporatama, a subsidiary of Indomobil under the major Indonesian conglomerate Salim Group. Through this project, the parties plan contribute to the Indonesian economy by providing well-maintained trucks to tackle issues in freight transportation which would reduce road infrastructure damages and traffic accidents.
  • Counsel to Mitsubishi Corporation (MC) and its Indonesian subsidiary PT Diamond Development Indonesia (DDI) in their new urban integrated township project with an estimated gross development value (GDV) of IDR 9 trillion (approx. USD 630 million) in SHILA at Sawangan, a 102-hectare township in Depok, West Java, Indonesia. To implement the project, MC and DDI have formed a significant partnership with a leading Indonesian real property developer listed in IDX, PT Pakuan Tbk.
  • Counsel to Hokkan Holdings Corporation (Hokkan), one of the largest Japanese bottling and packaging maker companies, in its 1,262 billion Indonesian Rupiah or approximately 9.5-billion-yen acquisition of beverage package manufacturing business from 7 group companies of PT. Deltapack Industri (DPI group), which includes transfer and assignment of substantial DPI group’s moveable and immovable assets as well as business portfolios.
  • Counsel to Mitbana Pte Ltd, a joint venture company of Mitsubishi Corporation (MC) and Surbana Jurong (SJ), in the biggest (and first of its kind)  advance smart and sustainable Transit-Oriented Developments (TODs) in BSD City, South Tangerang, Greater Jakarta, where Mitbana forms a significant partnership with leading Indonesian property developer Sinar Mas Land.  Building on BSD City’s track record, the Project is to transform hundreds of hectares of greenfield land into TODs comprising residential units, commercial properties, living amenities, green-park offices, digital hubs, a convention centre, a hospital, schools, railways and public transport nodes, which enlarges BSD City’s existing development footprint and expand on its current population of 200,000 residents.
  • Counsel to Mitsubishi UFJ Lease & Finance Company, Limited (MUL), one of the biggest leasing and financing companies in the world, on its Indonesian post-merger report related matter with Hitachi Capital Corporation (HC), a Japan-based company engaged in leasing and financing services business in Japan and overseas. The merger is calculated at USD 2.8 billion and considered as one of the biggest merger deals, which results in the combined company’s annual sales amounting to USD 13.3 billion, assets worth about USD 95 billion, and almost 10,000 employees.
  • Advising and supporting multiple Japanese major manufacturing companies, in relation to their investigation relating to anti-dumping investigation in Indonesia as a surrogate country on certain goods imported to Japan from the People’s Republic of China (PRC) and the Republic of Korea.
  • Advising a sectoral foreign government agency in various aspects of Antitrust Law in Indonesia, including in relation to merger report for assets transfer, mergers, consolidations, and/or acquisitions, and dominant position rules under the Indonesian Antitrust law.
  • Advising one of Japan’s largest banking institutions, in relation to the proposed provisions of perpetual (non-cumulative) subordinated loan to its Indonesian banking subsidiary for the purpose of increasing the subsidiary’s core capital.
  • Advising a Japanese leading logistics company in the restructuring of its numerous Indonesian logistic subsidiaries engage in freight forwarding services, bonded logistic center and storage and other storage business. The transaction involves various and complex corporate actions including merger and transfer of business between the group companies and compliance of various regulatory requirements.
  • Counsel to PT Dhost Telekomunikasi Nusantara, a wholly owned Indonesian subsidiary of of DeClout Limited, an Indonesian company engaging in provision of service of equipment and infrastructure of in-building distributed antenna system (DAS) and fibre optic system, in its financing and acquisition process of indoor telecommunication infrastructure assets from PT XL Axiata Tbk, one of the largest cellular telecommunications networks and services provider in Indonesia.
  • Counsel to state-backed Japanese entertainment-dedicated fund, Cool Japan Fund, in its USD 50 million investment in domestic ride-hailing firm Go-Jek, which go towards Go-Jek’s video and music streaming service for mobile users where it hopes to tap the popularity of Japanese anime and horror movies in Indonesia and helps Japanese restaurants in Indonesia set up shop at Go-Jek’s Go-Food Festival locations.
  • Counsel to Tokyo Gas Asia Pte. Ltd in the acquisition PT Super Energy Tbk (SE), a publicly-listed Indonesian company, PT Energy Mina Abadi, and PT Gasuma Federal Indonesia and PT Bahtera Abadi Gas. SE company group is one of the most productive Indonesian gas distribution group companies, which is expanding its gas projects throughout Java.
  • Counsel to Tokyo Tatemono Co Ltd & Tokyo Tatemono Asia Pte Ltd, one of the biggest Japanese real property companies, in their proposed  of more than $ 300,000,000  urban development projects in Indonesia, specifically on the development of certain prominent office and residential towers in the most prestigious area in south Jakarta.

Seminars and Publications:

  • A guest lecture in Legal Writing Class of the Faculty of Law, University of Gadjah Mada (UGM), where she shared her experience and views on “Practical Guides for Legal Advice Drafting”. The goal was to provide overviews and insights on methods and tips to prepare legal memorandum and to introduce students to challenges and benefits of lawyering in a corporate law firm.
  • A co- lecturer representing Indonesia in the 10th Symposium on International Civil and Commercial Law, organized by the Ministry of Justice of Japan, through the International Civil and Commercial Law Center Foundation (ICCLC), co-held by Osaka Chamber of Commerce and Industry and supported by Japan External Trade Organization, Osaka Headquarters, Japan International Cooperation Agency, Osaka Bar Association, and Kansai Economic Federation, where together with guest lecturers from Japan, Malaysia, Thailand and Vietnam, the firm discussed and compared legal situations and practical issues and future prospects of joint venture in each jurisdiction.
